These Terms and Conditions (“Terms”) set out the basis on which Cypher Technology provides IT services and operates cyphertechnology.com. By using our Site or engaging our services, you agree to these Terms. If anything is unclear, please get in touch before proceeding.

1. Our Services

Cypher Technology provides IT support, cybersecurity, cloud, networking, software development, and consulting services. The specific scope, deliverables, timelines, and fees for each engagement are agreed in a written proposal or service agreement before work begins. Nothing falls through the gaps — if it is not in writing, it is not in scope.

2. What We Need From You

To do our job properly, we need your help with a few things. Please provide accurate information when we ask for it; give us timely feedback and approvals so projects do not stall; make sure we have the access we need to your systems and facilities; and designate a main contact on your side for decisions and communication. Delays caused by late access or slow approvals are outside our control and may affect agreed timelines.

3. Intellectual Property

For custom software development work, intellectual property ownership is set out in your project agreement. As a general rule, once the final invoice is paid in full, the deliverables we have built for you become yours. Any pre-existing tools, frameworks, or code libraries that we bring to the project remain our property — but you will always have the rights you need to use what we have built for you.

4. Confidentiality

Both sides agree to keep each other’s confidential information private. This covers anything marked as confidential or that a reasonable person would understand to be sensitive — including business plans, technical documentation, and client data. This obligation continues for three years after the end of any engagement.

5. SLAs and Service Levels

Response and resolution commitments for managed service clients are set out in the SLA attached to your service agreement. We take our SLAs seriously and track our performance against them. Where we fall short of a committed response time, we will be upfront about it and work with you on any applicable remedy.

6. Liability

We will always do our best to deliver excellent IT services, but no technology environment is completely immune to failure. Our total liability for any claim is limited to the fees paid to us in the three months before the claim arose. We are not liable for indirect losses such as loss of profit, loss of business, or data loss caused by factors outside our direct control.

7. Ending the Relationship

Either party can end a service agreement by giving the notice set out in that agreement. We reserve the right to suspend or terminate services immediately if fees are significantly overdue or if there has been a serious breach of these Terms. We will always try to resolve issues before taking that step.

8. Governing Law

These Terms are governed by the laws of the jurisdiction in which Cypher Technology is registered. Any disputes that cannot be resolved between us directly will be subject to the courts of that jurisdiction.

9. Updates

We may update these Terms from time to time. We will post any changes here with an updated date. Continuing to use our services after changes are published means you accept the updated Terms.
